Description
You will join the legal team of a large semiconductor client to support IPO and transaction readiness, including strengthening corporate governance, ensuring diligence quality, supporting M&A and strategic investments, and reducing reliance on outside counsel. This is a high-visibility role working cross-functionally with finance, HR, IP, privacy, engineering, and executive leadership.
Requirements
- 5-8 years of corporate and M&A experience at a leading law firm
- Significant exposure to IPO transactions, public company readiness, or sponsor-backed M&A
- Strong drafting skills across purchase agreements, disclosure schedules, and board materials
- Solid understanding of capitalization tables, equity plans, and subsidiary structures
- Ability to translate legal issues into practical business risk assessments
Responsibilities
- Strengthen corporate governance and subsidiary management, including foreign entities
- Ensure diligence quality across material contracts, policies, and compliance frameworks
- Support M&A, strategic investments, and corporate transactions
- Reduce reliance on outside counsel for core corporate execution work
- Build internal infrastructure to withstand investor and acquirer scrutiny
