Description

As Director, Associate General Counsel, you will lead corporate and securities legal functions, including SEC filings, corporate governance, equity compensation, M&A, and strategic initiatives. You'll partner with executive leadership and cross-functional teams to ensure compliance and support business growth in a dynamic environment.

Requirements

• Juris Doctorate and active bar membership
• 10+ years corporate and securities law experience
• 3+ years people management experience
• Deep knowledge of SEC/Nasdaq rules and corporate governance
• Comfort working in a lean legal team environment

Responsibilities

• Lead SEC filings (10-K, 10-Q, 8-K, Proxy, registration statements, Section 16)
• Manage corporate governance lifecycle and Board materials
• Oversee legal support for equity compensation programs
• Provide legal support for M&A, capital markets, and strategic initiatives
• Advise on compliance, enterprise risk, and ESG matters
