Description

You will serve as the primary legal partner to the Global Procurement organization, drafting and negotiating vendor agreements, and contribute to intellectual property portfolio management. By balancing legal risk with business needs, you will help protect the company's valuable technology and brand assets while enabling operational efficiency.

Requirements

• Foundational experience in vendor and supplier contracts and intellectual property
• Ability to draft and negotiate a broad range of commercial agreements
• Business mindset to balance efficiency and client needs while managing legal risk
• Familiarity with confidentiality, IP, AI, sanctions/export controls, data protection, and insurance
• Comfort with generative AI tools (e.g., Microsoft Copilot, ChatGPT) and critical evaluation of AI outputs

Responsibilities

• Draft, review, and negotiate procurement agreements (MSAs, SOWs, NDAs, supplier agreements, software/SaaS, cloud)
• Structure pricing models, SLAs, warranties, IP/ownership, performance credits, and risk allocation
• Partner with Procurement, Product, IT, Finance, HR, Privacy, and Compliance to align contracts with commercial intent and compliance
• Support negotiation of data processing agreements and security schedules per GDPR/CCPA standards
• Advise on AI procurement including model access, training rights, output ownership, and bias/testing
