Description

You will advise on IPO execution, SEC reporting and compliance, equity transaction structuring, corporate governance, and shareholder rights. You will collaborate with internal and external teams to manage securities law issues for public and pre-IPO companies.

Requirements

• 5+ years experience in equity capital markets or securities law
• Strong knowledge of IPO execution, SEC reporting, and Securities Exchange Act of 1934
• Proven track record advising on equity offerings and corporate governance
• Excellent communication, negotiation, and problem-solving skills
• Juris Doctor degree and licensed to practice law in applicable jurisdiction

Responsibilities

• Draft, review, and negotiate equity offering documentation and corporate governance materials
• Provide legal guidance on IPO processes, SEC filings, and shareholder rights
• Collaborate with internal legal, finance, executive teams, external counsel, and underwriters
• Manage securities law and corporate governance issues for public and pre-IPO clients
• Stay updated on SEC rules and equity capital markets developments
