💼 About This Role

You'll join Crusoe's legal team to support corporate debt transactions and M&A, working closely with the AGC. You'll draft and negotiate complex agreements, manage due diligence, and coordinate deal closings for a fast-moving technology company.

🎯 What You'll Do

• Execute M&A and debt financing transactions from diligence to closing
• Draft and negotiate credit agreements, purchase agreements, and merger agreements
• Coordinate legal due diligence and identify key risks
• Manage disclosure schedules, perfection certificates, and KYC requests

📋 Requirements

• J.D. from an accredited law school and active bar admission
• 4-8+ years of experience in corporate law, M&A, and finance transactions
• Strong expertise in reviewing, drafting, and negotiating complex transaction agreements
• Exceptional attention to detail and ability to manage multiple high-stakes workstreams

✨ Nice to Have

• Prior experience at a startup, AI company, or high-growth venture/PE-backed business
• Understanding of real estate transactions, construction, and development
• Experience with contract lifecycle management platforms like Ironclad
