💼 About This Role

You'll lead the legal team's securities and corporate governance function at a public, technology-driven retail company. You'll drive SEC filings, board governance, and strategic transactions while partnering with senior leadership on high-impact matters. This role offers meaningful autonomy and broad scope across a Nasdaq-listed company.

🎯 What You'll Do

• Lead preparation and review of SEC filings (10-K, 10-Q, 8-K, proxy statements)
• Advise CEO, CFO, and Investor Relations on earnings materials and disclosures
• Manage board and committee governance as Assistant Corporate Secretary
• Oversee securities compliance framework including SOX and insider trading

📋 Requirements

• J.D. and exceptional academic credentials
• 7+ years of relevant experience including public company practice
• Deep expertise in U.S. securities regulations and corporate governance
• Active membership in at least one U.S. state bar
