💼 About This Role

You'll lead buy-side and sell-side M&A transactions end-to-end for a boutique firm with Big Law-trained attorneys. You'll draft and negotiate deal documents and drive diligence and closings, acting as a practical, business-first advisor to clients across various industries.

🎯 What You'll Do

• Draft and negotiate deal documents such as LOIs, purchase agreements, and merger agreements
• Drive diligence and coordinate workstreams to manage timelines and close deals
• Advise clients on deal structure, risk, and trade-offs grounded in business goals
• Support company lifecycle events including venture rounds, restructurings, and commercial contracts

📋 Requirements

• J.D. from an accredited law school and admitted in at least one U.S. jurisdiction
• 4+ years at a top Big Law firm with 3+ years focused on M&A for private companies
• Expert drafting in SPAs/APAs/merger agreements, reps & warranties, indemnities, and earn-outs
• Strong project management across cross-functional teams and clear client communication

• Exposure to tax, IP, privacy, employment, or regulatory issues common in tech deals
• Comfort with cap table tools and data rooms; RWI experience
• Experience in tech/VC environment
