Description

You will lead corporate governance, securities compliance, and M&A transactions for a publicly traded space company. You'll manage SEC filings, capital markets activity, and provide strategic legal advice to senior management.

Requirements

• JD from accredited law school
• Active California State Bar membership or RIHC
• 12+ years of legal experience
• Experience as in-house counsel for public company or at top-tier law firm
• Experience in securities law compliance and complex corporate structures

Responsibilities

• Lead legal review of annual/quarterly reports, proxy statements, and public disclosures for SEC/NASDAQ compliance
• Advise on capital markets and financing transactions
• Provide guidance on Sarbanes-Oxley, Regulation FD, insider trading policies, and 10b5-1 plans
• Advise on corporate governance, board matters, and executive compensation
• Manage legal due diligence and negotiation for M&A transactions
