Description

You will provide solutions-based counseling to multiple internal clients on complex legal and business issues, supporting Finance and Engineering teams on corporate transactions and strategic investments. You'll draft and negotiate commercial agreements, manage corporate legal affairs, and work cross-functionally to analyze legal risks and devise creative solutions.

Requirements

• JD from an ABA-accredited law school
• 5+ years of corporate law experience
• Admitted to the bar in at least one U.S. state
• Ability to register as in-house counsel in California
• Experience representing mature private and public companies

Responsibilities

• Support Finance and Engineering teams on corporate transactions and strategic investments, including legal diligence, negotiation, deal execution, and integration planning
• Draft and implement transaction playbooks and integration checklists
• Manage the company's and its subsidiaries' corporate legal affairs domestically and internationally
• Draft, negotiate, and review a broad range of commercial agreements
• Collaborate with stock administration team on employee stock plan documents and award agreements
