Description

You will advise on U.S. corporate and securities matters for Life360, including SEC and Nasdaq compliance, M&A, corporate finance, and partnerships. You'll prepare board materials, support M&A and corporate finance actions, and collaborate across finance, IR, and corporate communications teams.

Requirements

• At least 8 years of experience on public company matters and transactions
• Deep understanding of SEC reporting and federal securities laws
• Advanced knowledge of proxy statement preparation and shareholder meeting logistics
• JD and admission to at least one US state bar
• Strong analytical, writing, and communication skills

Responsibilities

• Act as expert on SEC and Nasdaq rules and filings, including 8Ks, Form 4s, Proxy, 10-Qs, 10-K
• Prepare board materials: slide decks, resolutions, UWCs, minutes
• Work with Australian counsel for ASX requirements
• Support M&A activity: NDAs, LOIs, Definitive Agreements, closing activities
• Support corporate finance actions and large partnership deals
