Description
You will join Axiom's Corporate and Securities team as a Debt Capital Markets Counsel, focusing on bond issuances, capital-raising transactions, and covenant structuring for high-yield and international debt offerings. Your work involves drafting and negotiating documents, providing securities law guidance, and collaborating with clients and teams on cross-border transactions.
Requirements
- 5+ years of experience in debt capital markets, securities law, or related corporate finance practices
- Strong knowledge of SEC regulations, bond offerings, covenant structures, and credit rating considerations
- Proven track record advising on high-yield bond transactions, Rule 144A offerings, and international debt issuances
- Excellent communication, negotiation, technology, and problem-solving skills
- Juris Doctor (JD) degree and licensed to practice law in an applicable jurisdiction
Responsibilities
- Draft, review, and negotiate bond offering documents, indentures, debentures, offering memoranda, and covenant packages
- Provide legal guidance on Canadian securities law and SEC regulations governing bond issuances and capital-raising strategies
- Collaborate with issuers, underwriters, finance teams, and external counsel on high-yield, investment-grade, and cross-border debt transactions
- Manage securities law, disclosure, and covenant compliance issues for clients in corporate and financial institution sectors
- Stay abreast of debt capital markets trends and regulatory developments under the Securities Act of 1933
