Description

You will advise clients on all aspects of M&A transactions, including deal structuring, due diligence, and negotiation. You'll draft key documents, coordinate deal teams, and collaborate with cross-functional experts to ensure seamless execution.

Requirements

• Active bar license in the state of residence
• Minimum 3+ years M&A experience at an AmLaw firm or F500 in-house department
• Experience with mergers, acquisitions, joint ventures, divestitures, private equity, or fund investments
• Strong knowledge of corporate and securities laws related to M&A
• Excellent project management, negotiation, and communication skills

Responsibilities

• Advise clients on deal structuring, due diligence, negotiation, and closing of M&A transactions
• Draft and negotiate purchase, merger, confidentiality, and disclosure agreements
• Coordinate large deal teams and stakeholders from due diligence through closing and integration
• Conduct due diligence investigations to identify legal risks and provide mitigation strategies
• Collaborate with finance, tax, regulatory, and compliance teams for seamless execution
