Description

You will support private equity fund formation, investments, and closings by preparing and managing legal documents, interacting with internal and external stakeholders, and assisting with due diligence projects. Your work ensures compliance and smooth transaction execution for a global private markets investment manager.

Requirements

• Undergraduate degree (business or law focus preferred); paralegal certificate from ABA-accredited program strongly desired
• 2-3 years paralegal or legal project assistant experience in corporate/transactional law with exposure to private equity fund structures
• Experience assisting with multiple closings in private equity, M&A, or debt finance
• Familiarity with global AML/KYC laws and regulations
• Proficiency in document management systems, electronic data rooms, legal AI systems, and MS Office suite

Responsibilities

• Prepare and maintain investment approvals, subscription docs, debt finance docs, closing lists, corporate charters, formation documents, AML/KYC documentation
• Interact with investment professionals, lawyers, bankers, accountants, and investors
• Maintain closing documentation and ensure compliance with firm guidelines
• Assist with fund formation, fundraising, and investment documentation
• Manage post-closing assembly/distribution and respond to investor requests
