Description

You will work on IPO execution, SEC reporting and compliance, and equity transaction structuring. You'll draft and negotiate offering documentation, provide legal guidance on corporate governance, and collaborate with internal and external stakeholders.

Requirements

  • 5+ years experience in equity capital markets, securities law, or corporate transactions.
  • Strong knowledge of IPO execution, SEC reporting, and Securities Exchange Act of 1934.
  • Proven track record advising on equity offerings, registration statements, and corporate governance.
  • Excellent communication, negotiation, and problem-solving skills.
  • Juris Doctor (JD) degree and licensed to practice law in applicable jurisdiction.

Responsibilities

  • Draft, review, and negotiate equity offering documentation and corporate governance materials.
  • Provide legal guidance on IPO processes, SEC filings, and shareholder rights.
  • Collaborate with legal, finance, executive teams, external counsel, underwriters, and regulators.
  • Manage securities law and corporate governance issues for public and pre-IPO companies.
  • Stay updated on SEC rules and equity capital markets developments.
