💼 About This Role

You'll lead corporate transactions and capital markets activities for a high-growth fintech company. You will own the full lifecycle of fundraising, M&A, and secondary sales, working directly with the CEO's Office and C-suite. This role offers high visibility and impact in a global, fast-paced environment.

🎯 What You'll Do

• Lead fundraising and financing transactions as primary internal counsel.
• Partner with Corporate Development on fundraising strategy and investor due diligence.
• Execute domestic and cross-border M&A and strategic transactions end-to-end.
• Advise on secondary sales and liquidity programs for shareholders and employees.
• Provide expert advice on corporate governance and intragroup structuring.

📋 Requirements

• U.S. legal qualification and active license to practice in at least one U.S. jurisdiction.
• 10+ years of experience in-house or private practice advising on private company financing and M&A.
• Significant experience drafting and negotiating transaction documentation for equity financings and M&A.
• Strong working knowledge of U.S. corporate and securities law as applied to private companies.
