💼 About This Role

You'll lead end-to-end mergers and acquisitions for a permanent capital holding company, acting as the primary legal resource on each deal. You'll own legal workstreams from LOI through post-closing, driving due diligence and negotiation internally. This high-autonomy role offers the chance to leverage AI tools to transform legal workflows.

🎯 What You'll Do

• Own legal aspects of M&A deals from LOI through closing
• Draft and negotiate purchase agreements and ancillary documents
• Lead internal due diligence on acquisition targets
• Leverage AI tools for contract review and document drafting

📋 Requirements

• J.D. from accredited law school and bar membership (CA or ON preferred)
• 3–5 years of M&A experience at top-tier law firm or in-house
• Proven ability to independently run an M&A transaction end-to-end
• Highly proficient with AI tools for legal work (contract review, drafting)

• Experience with both U.S. and Canadian M&A frameworks
• Familiarity with corporate governance, employment, IP, privacy
